1. Acceptance of Terms
Welcome to GapCM. These Terms of Service ("Terms") govern your access to and use of the GapCM website, services, applications, and APIs (collectively, the "Services"). By registering for an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.
2. Description of Service
GapCM provides a vacation rental Channel Manager and Property Management Software (PMS) that allows users ("Hosts", "Owners", "Managers") to synchronize booking calendars, aggregate reservation data, coordinate operations (such as cleaning and maintenance), manage pricing strategy, and optimize occupancy across various third-party channel booking engines (e.g., Airbnb, Booking.com, VRBO).
The Services are provided "as-is" and "as available". We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice.
3. Account Registration & Security
To use our Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are solely responsible for safeguarding your password and for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these security requirements.
4. Good Faith Use & Infrastructure Security
Hosts who use our Property Management Software, channel manager, and associated tools and features must do so in good faith, in-line with legitimate hospitality and business management objectives. We expect our users to respect the integrity of our platform and infrastructure.
Prohibited Activities & Abuse Policy
You are strictly prohibited from utilizing the Services to cause harm, load issues, or damage to our services, API networks, database engines, or physical infrastructure. Any attempt to abuse, scrape, scrape without authorization, reverse engineer, overwhelm, or disrupt our operations is grounds for immediate termination of your service.
Specifically, you agree not to commit, attempt, or facilitate any of the following:
- Use our automated ICAL sync, API connections, or channel integrations in any manner that creates excessive load or denial of service for our servers.
- Engage in automated or manual activity designed to exploit loopholes in the composite ICAL rendering or operations dashboard.
- Deploy any web spider, robot, crawler, scraper, or other automated query tool on the website or service interfaces without explicit written authorization from us.
- Distribute malware, viruses, or any other destructive software through the client-facing guest check-in links or messaging templates.
- Use our Services for any fraudulent billing, reservation manipulation, or deceptive practices that violate third-party booking channel terms.
5. Billing, Subscriptions & Payments
Certain features of the Services are billed on a subscription basis ("Subscription Plan(s)"). You will be billed in advance on a recurring and periodic basis (monthly or annually) depending on the plan you select. Subscription fees are calculated based on the tier and the number of active properties or units managed under your account.
All billing transactions are processed securely via Stripe. By subscribing, you authorize us to charge your credit card or other payment method for all fees incurred. All fees are non-refundable unless otherwise explicitly stated or required by applicable law.
6. Intellectual Property Rights
All right, title, and interest in and to the Services, including our software, code, layout, design, text, graphics, logos, and service marks, are and will remain the exclusive property of GapCM and its licensors. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your internal business operations in accordance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of our Services, nor may you reverse engineer or attempt to extract the source code of our software.
7. Data Privacy & Security
Your privacy is important to us. Our collection, use, and disclosure of personal information and guest reservation data are governed by our Privacy Policy. You represent and warrant that you have obtained all necessary consents from your guests to collect, store, and process their reservation, payment, and identification data (including photos or government IDs required for compliance, e.g., Japan Minpaku regulations) within our platform.
We employ industry-standard administrative, physical, and technical measures designed to safeguard your data. However, you acknowledge that no security system is completely impenetrable and we cannot guarantee absolute security of your information.
8. Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law, in no event shall GapCM, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of, or inability to access or use, the Services.
- Any synchronization delays, calendar overlap errors, or double bookings resulting from third-party channel downtime or API failures.
- Any unauthorized access, use, or alteration of your data.
You agree to defend, indemnify, and hold harmless GapCM from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your violation of these Terms or your infringement of any third-party rights.
9. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms (including but not limited to the Good Faith & Fair Use guidelines).
Upon termination, your right to use the Services will immediately cease. You may cancel your subscription at any time through the Billing Dashboard, and such cancellation will take effect at the end of the current billing cycle.
